1. Acceptance of the Terms
These Terms and Conditions (the "Terms") govern access to and use of the LUX TR platform (the "Platform," "we"), available through our website and associated applications. By creating an account or using the Platform, you (the "User") represent that you have read, understood, and fully accepted these Terms. If you do not agree, you must not use the Platform.
2. Description of the Service
LUX TR is a digital platform that allows collectors to record, value, and manage high-horology watch collections (the "Vault"), view estimated market prices, participate in peer-to-peer consignment auctions ("Lux Auctions"), simulate sale liquidations, generate valuation reports for insurance purposes, and access complementary tools such as the Wishlist and the Holy Grail module. LUX TR acts as a technology intermediary and is not a buying or selling party in any transaction between Users.
3. User Accounts
To access certain features, the User must create an account by providing truthful and up-to-date information. The User is responsible for keeping their access credentials confidential and for all activity carried out under their account. LUX TR may suspend or cancel accounts that violate these Terms, provide false information, or pose a risk to the User community.
4. Fundamental Protection Clauses
The following four clauses are mandatory for use of the Platform and prevail over any other provision of these Terms in the event of a conflict.
A · Financial Risk Disclaimer
LUX TR is not a financial, investment, or wealth advisor, and no information presented on the Platform — including market prices, demand indicators, trend charts, projections, or estimated valuations — constitutes financial advice or a recommendation to buy, sell, or hold any asset. The market prices shown are reference estimates derived from available market data and may differ substantially from the actual transaction price. High-horology watches and other collectible pieces are illiquid and volatile assets; their value can fluctuate significantly and unpredictably. The User acknowledges and accepts that they bear full risk associated with acquiring, holding, selling, or valuing such assets, and that LUX TR guarantees no return, liquidity, or preservation of value whatsoever.
B · Authenticity Responsibility
LUX TR provides the technology infrastructure (the Vault, Lux Auctions, and related features) for Users to record and, where applicable, consign items they own, but does not physically authenticate, inspect, or certify any item listed by its Users. The User who offers, consigns, or sells a timepiece is the sole and exclusive party legally and criminally responsible for guaranteeing its authenticity, legitimate ownership, and truthful description. Any attempt to sell, list, or consign counterfeits, undeclared replicas, or items of unlawful origin constitutes a serious breach of these Terms, will result in immediate account suspension, and may be reported to the competent authorities, without any liability arising for LUX TR as a result.
C · Insurance Report Limitation
The "Audit & Insurance" feature generates a document (the "Report") for informational purposes only, based on the estimated market prices recorded in the User's Vault. This Report is an estimated valuation tool and does not constitute a certified appraisal, expert assessment, or a document with evidentiary validity before any insurer, authority, or third party, unless the corresponding items have been physically verified by an independent appraiser or certifying entity. LUX TR does not guarantee that an insurer will accept the Report as a basis for coverage, and recommends that the User confirm valuation requirements with their insurance provider before purchasing or modifying a policy.
D · Commission Structure
Every liquidation resulting from a sale completed through Lux Auctions is subject to a platform commission retained by LUX TR from the final transaction amount:
- Standard Plan (free): a 20% commission on the sale amount.
- LUX TR Pro Plan: a preferential 17.5% commission on the sale amount.
The applicable commission is calculated and deducted automatically at the time of liquidation, according to the rate in effect for the User's active plan at the time the sale closes. LUX TR may update these rates with prior notice published on the Platform.
5. LUX TR Pro Subscription
LUX TR Pro is an optional, recurring-billing subscription plan (monthly or annual), processed through Stripe. The subscription renews automatically at the end of each period unless canceled beforehand by the User from their profile. Current prices are shown on the Platform at the time of purchase and may be updated with prior notice. No refunds are issued for partially used periods, except where applicable law provides otherwise.
6. User Conduct
The User agrees to use the Platform lawfully and in good faith, refraining from: (i) posting false or misleading information about items, prices, or their own identity; (ii) attempting to manipulate market prices, auctions, or demand indicators; (iii) compromising the security of the Platform or other Users' data; and (iv) any conduct that violates applicable law.
7. Intellectual Property
The design, brand, code, and original content of LUX TR are owned by LUX TR or its licensors and are protected by applicable intellectual property law. Use of the Platform does not grant the User any ownership rights over such elements.
8. General Limitation of Liability
To the maximum extent permitted by law, LUX TR will not be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the Platform, including without limitation economic losses, data loss, or lost business opportunities, except in cases of willful misconduct or gross negligence directly attributable to LUX TR.
9. Indemnification
The User agrees to indemnify and hold LUX TR harmless from any claim, damage, or expense (including reasonable legal fees) arising from their breach of these Terms, content they post, or items they offer, consign, or sell through the Platform.
10. Changes to these Terms
LUX TR may update these Terms at any time. Material changes will be notified through the Platform or by email with reasonable advance notice. Continued use of the Platform after changes take effect constitutes acceptance of the new Terms.
11. Governing Law
These Terms are governed by the law applicable in LUX TR's jurisdiction of operation. Any dispute arising from these Terms will be submitted to the competent courts of that jurisdiction, unless applicable law provides for a different, non-waivable venue for the User.
